1. Acceptance of Terms
By accessing yellopost.ai (the “Site”) or engaging YelloPost AI for services, you (“Client”, “you”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Site or our services.
These Terms constitute a legal agreement between you and YelloPost AI, a service of YelloPost Media Group (collectively, “we”, “us”, “our”). Your continued use of the Site or our services constitutes ongoing acceptance.
2. About YelloPost AI
YelloPost AI is a service of YelloPost Media Group, operated by Brandon Smith (Founder, COO/CFO) and Rob Dohlke (CEO). We provide bundled web presence services to local service businesses across the United States.
Our principal place of business and operational team are located in the United States. All work is performed by Brandon Smith and Rob Dohlke. Nothing is outsourced outside of the United States.

3. Services We Provide
YelloPost AI provides the following services, bundled into monthly subscription tiers (Launch, Grow, Scale):
3.1 Custom Websites
We design, develop, host, and maintain custom websites for service businesses. Sites are hand-coded in HTML/CSS, sized to the client’s tier (25-50 pages on Launch, 100-200 on Grow, 250-600+ on Scale). Hosting includes SSL, CDN, DNS management, and security hardening.
3.2 AI Chatbots
We deploy AI chatbots on Client websites trained on Client’s specific business. Chatbots use Anthropic’s Claude models. See Section 6 for limitations.
3.3 White-glove Google Search Ads & Local Service Ads (LSA)
On Grow and Scale tiers, we provide white-glove Google Search Ads, Local Service Ads, or both. We build, optimize, and operate campaigns on behalf of the Client.
3.4 Local SEO
Schema.org markup, citation coordination, hyperlocal content production, and ongoing optimization.
3.5 Conversion Tracking
Google Tag Manager, Google Analytics 4, and conversion event configuration with dollar values assigned per event.
3.6 Lead Pipeline Hardening
Spam filtering, geo-fencing, honeypot fields, TLD blocklisting, and disposable-email rejection on all contact forms and chatbots.
3.7 Accessibility
WCAG 2.1 Level AA structural conformance plus the AdaWebPro accessibility widget. Full details in our Accessibility Statement.
4. Tiers, Pricing & Commitment
4.1 Tier Selection
Clients select one of three tiers at engagement: Growth (from $2,500/mo), Scale (from $4,000/mo), or Dominate (from $7,500/mo). Each tier includes a one-time setup fee. See our Pricing page for full details.
4.2 Initial Commitment
All tiers require a 12-month initial commitment. After 12 months, the engagement converts to month-to-month with 30 days written notice for cancellation by either party.
4.3 Month-to-Month Option
Month-to-month engagements (no initial commitment) are available at a 50% premium over the listed monthly rate.
4.4 Setup Fees
Setup fees are non-refundable and due before work begins. They cover discovery, scope documentation, initial provisioning, and first-phase build work.
4.5 Price Changes
Listed prices may change for new Clients at any time. Existing Clients are price-locked for the duration of their initial 12-month term. Subsequent renewals may reflect prevailing rates with 60 days notice.
5. Setup, Build & Go-Live Process
5.1 14-Day Standard Timeline
Launch and Grow tiers ship live within 14 calendar days of contract signing. Scale tier (250-600+ pages) ships within 21-30 days due to content production scope.
5.2 Client Responsibilities
Timely delivery depends on Client providing: business information (services, pricing, hours, service area), logo and brand assets, photos of work or facilities, content review on staging URL, and DNS access at launch.
5.3 Staging Review Window
Clients receive a staging URL by day 7. Change requests submitted by day 10 are incorporated before launch. Changes after day 10 are deployed post-launch.
5.4 Timeline Slips
If we miss the 14-day window due to our delay, we credit the first month’s subscription fee. If the delay is caused by Client (delayed asset delivery, slow DNS response, etc.), the timeline pauses until Client unblocks the work.
6. AI Chatbot Service & Limitations
6.1 Underlying AI Model
Our chatbots are powered by Anthropic’s Claude models. We engineer the system prompt, train it on Client’s specific business, and integrate it into the Client’s site. The underlying foundation model is licensed from Anthropic.
6.2 No Medical, Legal, or Financial Advice
Our AI chatbots are designed for general business inquiry, qualification, and lead capture. They do not provide medical advice, legal advice, financial advice, or professional consultation of any kind, regardless of the Client’s industry. End users requiring professional advice should consult appropriate licensed professionals.
6.3 Accuracy Disclaimer
AI chatbots may produce incorrect, incomplete, or out-of-date responses. We design the chatbot system prompt to minimize errors, but cannot guarantee accuracy of every response. Client is encouraged to review chatbot conversation logs periodically.
6.4 No Liability for AI Responses
To the maximum extent permitted by law, YelloPost AI is not liable for damages arising from AI chatbot responses, including but not limited to: misquotes of pricing, incorrect service descriptions, hallucinated information, or any reliance placed on chatbot statements by end users.
6.5 Spam & Abuse Protection
Chatbots include spam filtering, prompt-injection resistance, US/CA geo-fencing, and content safety filters. Some legitimate inquiries may occasionally be filtered. We tune filters in response to Client feedback.
7. Ad Spend & Third-Party Billing
7.1 Ad Spend Billed Directly by Google
Where we manage Google Ads or Local Service Ads, Google bills Client directly via Client’s credit card or billing arrangement. We do not collect or markup ad spend. Our services are included in your monthly plan — we do not charge a separate management fee or a percentage of ad spend.
7.2 Recommended Spend Levels
Recommended monthly ad spend ranges $1,500 to $5,000 depending on category, market, and goals. Higher spends may be recommended for competitive markets or aggressive growth.
7.3 No Guarantee of Ad Performance
Ad campaign performance depends on many factors outside our control (Google algorithm changes, competitive bidding, market conditions, seasonality). We optimize continuously but do not guarantee specific results, lead volumes, or cost-per-acquisition figures.
8. Intellectual Property & Ownership
8.1 Client Ownership
Upon engagement, Client owns: the domain name (registered in Client’s name), all custom content produced for Client’s site (subject to Client having provided source material truthfully), all photographs supplied by Client, and the chatbot system prompt tailored to Client’s business.
8.2 YelloPost AI Retained Rights
YelloPost AI retains rights to: our framework code, build tools, page generators, hardening libraries, accessibility components, and any reusable infrastructure. We grant Client a perpetual non-exclusive license to use these as embedded in their site.
8.3 Hosting Transfer on Termination
If engagement ends, we transfer hosting credentials and all site files to Client within 30 days of final payment, at no additional cost. Client may take the site to any host.
8.4 No Lock-In Clause
We do not use proprietary platforms or formats that prevent migration. The site files are standard HTML, CSS, and PHP that can be hosted on any standard web hosting provider.
9. Acceptable Use
Client agrees not to use our services for:
- Illegal activities under U.S. federal or state law
- Hate speech, harassment, or content that incites violence
- Distribution of malware, phishing content, or scams
- Impersonation of other businesses or persons
- Adult content, gambling content, or unlicensed financial services
- Industries we do not service (firearms, tobacco, vaping, marijuana, payday lending)
- Misrepresentation of credentials, certifications, or business affiliations
We reserve the right to refuse service or terminate engagements that violate this section.
10. Cancellation, Refunds & Termination
10.1 Cancellation by Client
After the initial 12-month term, Client may cancel with 30 days written notice via email to [email protected] or [email protected]. Final billing prorates through the notice period.
10.2 Early Termination
Cancellation before the 12-month term completes requires payment of remaining months on the term. This is not a penalty but recognition that we ramp up significant work in early months that pays back over the full term.
10.3 Refunds
Setup fees are non-refundable. Monthly subscription fees paid for the current month are not refunded after cancellation; service continues through the end of the paid month. No refunds for partial months.
10.4 Termination by YelloPost AI
We may terminate for cause if Client: violates the Acceptable Use policy; fails to pay invoices within 30 days of due date; engages in abusive conduct toward our team; or asks us to do work we deem unethical. Termination for cause requires 14 days notice.
10.5 Post-Termination Handoff
Upon termination, we hand off site files, hosting credentials, and any account access we hold on Client’s behalf within 30 days. We do not hold materials hostage.
11. Hosting, Uptime & SLA
11.1 Standard Uptime Target
We target 99.9% uptime on Client sites. This excludes planned maintenance (notified 48 hours in advance), DNS provider downtime, third-party CDN outages, and force majeure events.
11.2 Scale Tier Uptime SLA
Scale tier engagements include a 99.95% uptime guarantee. If we fall below this in any given month, Client receives a 1-day service credit per 0.1% below target, up to one full month of credit.
11.3 Maintenance Windows
Scheduled maintenance, when needed, is performed Sunday 2-5 AM Pacific Time and announced 48 hours in advance.
12. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from these Terms shall not exceed the fees paid by Client to YelloPost AI in the three (3) months preceding the claim.
- We are not liable for indirect, consequential, special, or punitive damages, including loss of profits, loss of leads, loss of customers, or loss of business opportunity.
- We are not liable for damages arising from third-party services (Google Ads, Anthropic Claude, Cloudflare, hosting providers, payment processors) operating in accordance with their own terms.
- We are not liable for damages arising from Client’s failure to provide truthful business information or to follow reasonable instructions we provide.
13. Indemnification
Client agrees to indemnify, defend, and hold harmless YelloPost AI, its owners, and operators from any claims arising from:
- Client’s violation of these Terms or applicable law
- Client-provided content (text, images, claims) that infringes third-party rights or contains material misrepresentations
- Client’s use of our services for purposes not covered by these Terms
- Client’s failure to maintain required licenses, insurance, or certifications relevant to Client’s business
14. Disputes & Arbitration
14.1 Good-Faith Resolution
The parties agree to attempt good-faith resolution of any dispute through direct communication for a period of 30 days before initiating formal proceedings.
14.2 Binding Arbitration
If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in the United States. The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.
14.3 Class Action Waiver
Both parties waive any right to participate in class actions or representative actions arising from these Terms. Any arbitration shall be conducted on an individual basis only.
14.4 Exceptions
Either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations, breaches of confidentiality, or other situations requiring urgent equitable relief.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any non-arbitration proceedings shall be brought exclusively in the state or federal courts located in California.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email to active Clients with 30 days notice and reflected in the “Last updated” date at the top of this page. Continued use of services after the effective date constitutes acceptance of revised Terms.
